Eighteen clauses, in plain English.
1About these terms
1.1These terms are between New Ability Energy Pty Ltd, ABN 54 661 687 485 ("we", "us"), and the person or business that signs them ("you").
1.2Solar Up Pty Ltd is a subsidiary of New Ability Energy and handles homes. A customer who goes ahead with either company counts under these terms. We pay every fee.
1.3Together with any partner schedule we both sign, these terms are the whole agreement between us about the program. Where a partner schedule says something different, the schedule applies.
2Who can join
2.1Any individual aged 18 or over, any business with an active ABN, and any incorporated association or club, in New South Wales or the Australian Capital Territory.
2.2Councils, public schools, public hospitals and other public bodies cannot receive a referral fee. The incorporated body attached to one, such as a parents and citizens association or a sporting club, can join in its own name.
2.3Our own employees and contractors cannot join.
2.4If you join for a business, the person who signs must be authorised to bind it: an owner, a director, or a committee member of an association.
3What you do
3.1You display or hand out the material we supply, at the venues we agree, without changing it.
3.2You may tell customers about us in your own words. You may not quote prices, promise savings, rebates or timeframes, or sign anyone up on our behalf. Those are ours to give, in writing, after a site visit.
3.3There is no target and nothing to sell. How much you promote us is your decision.
4What we supply
4.1Business cards, posters and counter cards printed with your partner code, your link and your QR code, at no cost to you. We restock on request.
4.2Other formats, such as a mention at an event you run or material for a newsletter, can be agreed in a partner schedule.
4.3The material remains ours. When the agreement ends, clause 15 applies.
5How a customer is credited to you
5.1A customer is credited to you when their first enquiry reaches us through your link or QR code, or when they give your partner code on our quote form or by phone.
5.2A customer is not credited to you if they are already our customer, if they have had a quote from us in the previous 12 months, or if they were first credited to another partner. The first partner credited is the one we pay.
5.3Credit lasts 12 months from the customer's first enquiry. We tell you when an enquiry is credited to you.
5.4Our records decide whether a customer is credited. If you think we have missed one, tell us and we will review it with you within 10 business days.
6The fee
6.1We pay you $500 for each credited customer that goes ahead with New Ability Energy or Solar Up. If you are registered for GST we add GST to that amount.
6.2The fee is earned once the customer's system is installed and commissioned and the customer has paid us in full.
6.3One fee is paid per customer contract. There is no cap on how many fees you can earn.
6.4No fee is paid for enquiries, site visits or quotes that do not go ahead. Whether a customer goes ahead is always their decision.
6.5The fee belongs to your business. How you use it is up to you.
7How we pay you
7.1By EFT, to an account in your own name or your business's name, within 30 days after the end of the month in which the fee is earned. We email a remittance advice with each payment.
7.2If you are paid as a business, we issue a recipient-created tax invoice for each fee, so you do not need to invoice us. You agree that we will issue these invoices, that you will not issue your own invoice for the same fee, and that you will tell us within 14 days if your ABN changes or you stop or start being registered for GST.
7.3If you are paid as a business, we need your ABN before we can pay you. Without one, the law requires us to withhold tax from the payment at the top rate. If you refer as a private individual, not as part of a business, you do not need an ABN.
7.4You can send your bank details on our payment details form, by email or post, or give them to us by phone. We enter them into our payment records by hand, and before the first payment we call you on the number we hold and read them back to you. We never act on a change of bank details sent by email alone: we call you on the number we already hold to confirm it first.
8If a customer cancels
8.1If a customer's contract is cancelled and we refund them within 90 days of paying your fee, we may deduct that fee from your next payment, or ask you to repay it within 30 days if no further payment is due.
9Being open about the fee
9.1If a customer asks whether you are paid for recommending us, you tell them yes.
9.2Some industries must disclose referral fees to their clients, including real estate agents, mortgage and finance brokers, and strata managing agents. If yours is one of them, you make that disclosure as your rules require.
9.3If you join as a business, the fee is paid to the business, not to an employee in their own name, and your staff should not accept a personal payment or benefit from anyone for recommending us. Anyone who wants to refer customers in their own right can join as an individual.
10Our names and marks
10.1You may display the New Ability Energy and Solar Up names and marks only as they appear on the material we supply.
10.2Using them in your own advertising, website or social media needs our written approval first. This permission ends when the agreement ends.
11Privacy
11.1You do not collect customer details for us. Customers contact us themselves, through your link, your QR code or our phone line.
11.2We hold your business details, contacts, bank details and signature to run the program, pay you and meet our tax obligations. We keep them secure and do not use them for anything else.
12How you promote us
12.1You do not make misleading claims about us, our prices, our products or our warranty.
12.2You do not pressure anyone, door-knock or cold-call on our behalf.
12.3You do not email or text your customer list about us unless those customers have agreed to receive marketing messages from you.
13Responsibility
13.1We are responsible for our quotes, contracts, installations and warranties. You are responsible for anything you say about us beyond the material we supply.
13.2You act independently of us. Nothing in these terms makes you our agent, employee or partner in law, and neither of us can bind the other.
13.3Neither of us is liable to the other for indirect or consequential loss under these terms. Nothing in these terms limits any right either of us has under the Australian Consumer Law.
14Confidentiality
14.1Each of us keeps the other's business information, and anything we learn about a customer, confidential. The existence of the program and the standard $500 fee are not confidential.
15Ending the agreement
15.1Either of us can end the agreement at any time, for any reason, with 14 days' notice by email. There is no cost to leave.
15.2We can end it immediately if clause 9 or clause 12 is broken.
15.3Customers credited to you before the end date still earn you the fee if they go ahead within 12 months of their first enquiry. Enquiries after the end date are not credited.
15.4When the agreement ends, you take down the posters and stop handing out the cards. We collect what is left, or you recycle it. Your link keeps working and takes customers to our standard quote form.
16Changes to these terms
16.1We give you 30 days' notice by email of any change. If you do not accept a change, you can end the agreement under clause 15 before it takes effect.
16.2A change never reduces a fee you have already earned. Each version of these terms is dated, and the version you signed stays on record.
17Signing
17.1You can sign these terms electronically. An electronic signature is as binding as a signature on paper. We record the version and date you signed and email you a copy.
18Governing law
18.1These terms are governed by the law of New South Wales.
Every business is different. The schedule says how.
These terms are the same for every partner. The partner schedule is where we record what is specific to you: where the material goes, how much of it, and anything else we agree at our meeting.
A school is the clearest example. We would not put a poster in a classroom, and a public school cannot take a referral fee. The parents and citizens association can join in its own name, and a quieter arrangement, such as a mention in a newsletter or a stall at a fete, can be written into its schedule.
The schedule is signed by both of us. Where it differs from these terms, the schedule applies.
